LCLC Constitution
Because we believe that library services represent a vital and educational resource, and that the effective and proper utilization of information services and technology requires an organized and combined effort on the part of all types of educational agencies and libraries in the community,
We do hereby establish an Association to be known as the Linn County Library Consortium to encourage, coordinate and develop the educational, instructional and public information uses of library and information systems that are now available or may be available in the future, to the end that the benefits therefrom may have the widest possible application and effect.
Article I
Name
The name of the Association shall be the Linn County Library Consortium, hereinafter referred to as the Consortium or the Association.
Article II
Purpose
The purpose of the Consortium shall be to serve mutual advantages that will flow from continuing relationships among those institutions, organizations, and individuals engaged or interested in library resources for educational, instructional, and public information purposes.
The objective of this Consortium is to include, but not be limited to, the following:
- To encourage and facilitate cooperative arrangements among member institutions on matters related to library services, access, and information systems.
- To be a collective voice for the support, development, and utilization of specialized collections for educational purposes.
- To serve as a coordinating unit among member institutions, organizations and agencies, state and federal organizations and agencies, and funding sources on those matters related to the utilization and development of libraries, learning resource centers, and information systems.
- To engage and aid in the acquisition of funds for the implementation and/or continuation of the objectives listed above.
In striving to accomplish these objectives, the Consortium shall in no way compromise the autonomy of its members.
Article III
Membership
Full Membership: Full membership shall be open to any nonprofit, private, public, or parochial elementary or secondary school system; to any nonprofit institute of highter education; to any nonprofit tax-supported public agency whose primary fuction is education or library services; and to any public or private medical, legal, or specialized library or organization which shows a commitment to library services by ongoing budgetary and administrative support; by provision of professional and administrative management and an appropriate, functioning, governing or advisory body and which makes its collection available in some form to the entire community.
Associate Membership: Associate membership shall be open to any formal organization that demonstrates an active interest in library services; and qualifications for full membership.
Article IV
Administration
Section 1: Officers: The officers of the Consortium shall be those duly authorized and elected in accordance with the Bylaws. The duties of the officers shall be those pertaining to such offices along with such additional duties as prescribed in the Bylaws.
Section 2: Board of Directors: The Consortium shall be administered by a Board of Directors as provided in the Bylaws.
Section 3: A Chief Executive Officer and appropriate staff may be authorized by the Board of Directors at its discretion.
Article V
BylawsM
The Consortium, through its voting membership, may enact Bylaws for its government not inconsistent with the provisions of this Constitution.
Article VI
Parliamentary Authority
The Consortium shall be guided by Robert's Rules of Order and its revisions at all points not expressly provided for in this Constitution.
Article VII
Annual Meeting Policy
The annual meeting of the Consortium shall be held at such time and place as designated in the Bylaws.
Article VIII
Amendments
Section 1: The Constitution may be amended by an affirmative vote of two-thirds (2/3) of the membership to vote.
Section 2: The Secretary shall submit all such proposed amendments in writing to the membership at least thirty (30) days prior to the date of balloting.
Section 3: Voting on all Constitutional amendments shall be conducted by mail ballot.
